Vendors and Contracts
How to review model providers and other vendors, what contract terms to require for AI processing, how to manage subprocessors, and what commitments to make to customers.
An AI assistant depends on vendors that process your customers' most sensitive data: model providers, embedding and re-ranking services, vector databases, observability platforms, and cloud infrastructure. Each one is a subprocessor. Contracts with them, and the commitments you make to customers, must line up.
Vendor inventory
| Vendor type | Data they see | Risk level |
|---|---|---|
| Model providers (answers, agents) | Prompts: questions, retrieved documents, history | Highest |
| Embedding and re-ranking providers | Document chunks, queries | High |
| Guardrail and moderation services | User input, model output | High |
| Vector database or search (if managed) | Chunks, embeddings, metadata | High |
| Cloud infrastructure | Everything, encrypted | High, usually already reviewed |
| Observability and error tracking | Traces, which may contain prompts | Medium to high, depending on configuration |
| Identity broker | User identities, groups | Medium |
| Email, notifications | Names, emails, limited content | Low to medium |
Reviewing a model provider
Before adding a provider, or a new model or service from an existing provider, check:
| Area | Questions |
|---|---|
| Training | Is customer data used to train or improve models? It must not be, contractually |
| Retention | How long are prompts and outputs stored? Is zero data retention available, and for which endpoints and features? |
| Abuse monitoring | Are prompts reviewed by humans for abuse? Can you get an exemption for sensitive workloads? |
| Region | Where is data processed, stored, and monitored? Per model and endpoint |
| Security | SOC 2 Type II, ISO 27001, penetration testing, vulnerability disclosure |
| Subprocessors | Who else processes the data? |
| Breach notification | Contractual time to notify you |
| Sector terms | BAA for health data, other sector-specific terms |
| Model lifecycle | Deprecation notice period, version pinning, change communication |
| Availability | SLA, status page, support for capacity reservations |
Features can change terms. A provider's zero retention commitment may not apply to every feature, for example some stateful or file-based features store data. Check each feature you use, and make the model gateway reject features that are not covered.
Contract terms to require
With every vendor that processes customer data:
- Data processing agreement (DPA) describing processing purposes, categories of data, security measures, subprocessors, and deletion at end of contract.
- Standard contractual clauses or other transfer mechanisms for cross-border transfers where needed.
- No training on your data or your customers' data.
- Retention limits, ideally zero for prompts and outputs.
- Confidentiality of all inputs and outputs.
- Breach notification within a defined time, such as 48 or 72 hours.
- Audit rights or acceptance of third-party audit reports.
- Subprocessor change notice, so you can pass it on to your customers in time.
Subprocessor management
Your customers' DPAs with you usually require that you list subprocessors and notify them before adding new ones, often with a right to object.
- Maintain a public or customer-accessible subprocessor list with purpose and region for each.
- Give advance notice, commonly 30 days, before adding a subprocessor.
- Engineering cannot add a model provider by changing a config file. Adding a provider is a contractual event. Put a gate in the process: the model gateway's provider list changes only with sign-off from legal or privacy.
| Subprocessor | Purpose | Data | Regions |
|---|---|---|---|
| Cloud provider | Hosting | All customer data | EU, US |
| Model provider A | Answer generation, embeddings | Prompts, document chunks | EU, US |
| Model provider B | Fallback generation | Prompts | EU, US |
| Observability vendor | Tracing, logs | Metadata, redacted traces | EU, US |
Customer commitments
What you promise customers must be true for every vendor in the chain.
| Common commitment | Requires |
|---|---|
| "Your data is never used to train models" | No-training terms with every model provider, and no internal training on customer data without consent |
| "Data stays in the EU" | Every vendor processing that tenant's data operating in the EU for that tenant. See Data residency |
| "Data is deleted within 30 days of request" | Deletion across all stores and vendors within 30 days, including vendor retention periods |
| "Zero data retention at AI providers" | Zero retention terms and use of only covered features |
| "We notify you of breaches within 72 hours" | Vendor notification to you well within that time |
Keep a commitments register: each commitment, which contracts and controls support it, and an owner. Check it before every vendor change and before every unusual customer contract term.
Using customer data to improve the product
Teams will want to use real conversations to improve prompts, build eval sets, or fine-tune models. This is one of the most sensitive areas in AI contracts.
- Default: no use of customer content beyond providing the service.
- If you want to use it: get explicit, written permission per customer, specify the purpose, de-identify, limit access, and respect deletion.
- Aggregated, content-free metrics such as token counts, latency, and feedback rates are usually covered by standard service improvement terms. Confirm with legal.
Exit and portability
Customers will ask what happens when they leave.
- Export of their data in a usable format: conversations, uploads, settings, audit logs.
- Deletion of all their data within a defined period, across all stores and vendors, with confirmation.
- No lock-in through proprietary formats for their own content.
Checklist
- Every vendor that sees customer data is listed with its data, purpose, and regions.
- Model providers are reviewed for training, retention, abuse monitoring, region, and features.
- DPAs with no-training, retention, breach notification, and subprocessor terms are in place.
- Adding a model provider requires legal or privacy sign-off.
- A subprocessor list is published, with advance notice of changes.
- A commitments register maps customer promises to supporting contracts and controls.
- Customer content is not used for product improvement without explicit permission.
- Export and deletion on exit are supported and documented.
Audit Logging
What events an AI assistant must record for audits and investigations, the structure of an audit event, how to protect logs from tampering, and how to make them useful to customers.
Observability
How to see what the assistant is doing in production, from individual request traces to quality trends, and how logs, traces, metrics, and runbooks fit together.
